What’s changing
We've reorganized the Terms into clearer sections, set governing law to Delaware, and shortened our notice period for important updates to 7 days.
1. Agreement to these Terms
Please read these Terms of Use ("Terms") carefully.
These Terms govern your access to and use of websites and online services operated by Redfruit Media LLC and its subsidiaries (together, " Redfruit Media," " we," " us," or " our"). That includes redfruitmedia.com and any other website or service that links to this page (collectively, the " Services").
Some of our media brands currently link to these corporate Terms. Individual brand terms may apply later for those properties.
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. These Terms apply to all visitors and users of the Services.
2. The Services
The Services provide information about Redfruit Media, our brands, newsroom content, and related company pages, and may include forms (such as contact or advertising inquiries) and links to other sites.
We may change, suspend, or discontinue any part of the Services at any time.
3. Acceptable use
You agree to use the Services only for lawful purposes and in a way that does not:
- Violate any applicable law or regulation
- Infringe the rights of Redfruit Media or any third party
- Attempt to gain unauthorized access to the Services, our systems, or other users data
- Interfere with or disrupt the Services (including by introducing malware or overloading systems)
- Scrape, harvest, or collect data from the Services in an abusive or automated way that harms the Services, except as allowed by ordinary search-engine indexing or with our prior written permission
We may investigate and take action, including suspending access, if we believe these Terms have been violated.
4. Intellectual property
The Services and their content—including text, graphics, logos, images, and layout—are owned by Redfruit Media or our licensors and are protected by intellectual property laws.
You may view and use the Services for your personal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works from our content except as allowed by law or with our prior written permission.
Trademarks and brand names shown on the Services (including brand names of our portfolio companies) remain the property of their respective owners.
5. Third-party links and services
The Services may contain links to third-party websites or services that we do not own or control.
We are not responsible for the content, privacy practices, or terms of those third parties. We are not liable for any damage or loss caused (or alleged to be caused) by your use of, or reliance on, any content, goods, or services available through third-party sites.
We encourage you to read the terms and privacy policies of any third-party site you visit.
6. Submissions and feedback
If you send us ideas, comments, or other feedback through the Services, you grant Redfruit Media a non-exclusive, worldwide, royalty-free license to use that feedback to operate and improve our business and Services. You represent that you have the right to share what you send us and that it does not violate anyone elses rights.
Do not send confidential information through public or unsolicited channels unless we have asked for it under a separate agreement.
7. Disclaimer of warranties
Your use of the Services is at your own risk. The Services are provided on an "AS IS" and " AS AVAILABLE" basis, without warranties of any kind, whether express or implied. That includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that content will be accurate or complete.
8. Limitation of liability
To the fullest extent permitted by law, Redfruit Media and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Services.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms is limited to the greater of (a) the amount you paid us, if any, for access to the Services in the twelve months before the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the maximum extent permitted by law.
9. Indemnity
You agree to defend, indemnify, and hold harmless Redfruit Media and its officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys fees) arising out of your use of the Services or your violation of these Terms, to the extent permitted by law.
10. Termination
We may suspend or end your access to the Services at any time, with or without notice, including if you breach these Terms.
Provisions that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitation of liability, indemnity, governing law, and this survival statement.
11. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will try to provide at least 7 days notice before the new Terms take effect (for example by posting a notice on the Services or on this page). What counts as a material change is decided by us in good faith.
If you continue to use the Services after updated Terms take effect, you agree to those Terms. If you do not agree, stop using the Services.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict-of-law rules.
Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there, except where applicable law requires otherwise.
13. General
If we do not enforce a right or provision of these Terms, that is not a waiver of those rights. If a court finds any part of these Terms unenforceable, the rest remains in effect.
These Terms are the entire agreement between you and us regarding the Services and replace any prior agreements about the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
